Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and the business you represent (together, "you") and Skills Trade App LLC ("SKILLS," "we," "us," or "our"). They govern your use of SKILLS Trade — our business-to-business (B2B) trade-to-trade labor marketplace — across our iOS app, Android app, web app at go.skillstrade.app, and this marketing site at skillstrade.app (together, the "Service").

These Terms include an End User License Agreement, an Acceptable Use Policy, and subscription and billing terms. Please read them carefully. By creating an account, or by accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Acceptance of these Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes that organization.

Who can use SKILLS

To use the Service you must:

Be at least 18 years old;
Be authorized to act on behalf of a trade business or organization; and
Not be barred from using the Service under applicable law.

SKILLS is a tool for real businesses. It is not intended for consumers, anonymous one-off labor, or personal/household use.

Accounts and organizations

Participation on SKILLS is anchored to organizations (real businesses). You are responsible for the accuracy of the information you provide, for the activity that occurs under your account and your organization, and for keeping your login credentials secure. Notify us promptly at hello@skillstrade.app if you suspect unauthorized use. You are responsible for the acts and omissions of members you add to your organization.

End User License Agreement (EULA)

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the SKILLS apps on devices you own or control, and to access the Service, solely for your business's internal use of the marketplace. This license is personal to you and your organization.

You agree not to, and not to permit anyone to:

Copy, modify, distribute, sell, lease, or create derivative works of the Service;
Reverse engineer, decompile, or disassemble any part of the Service, except to the extent that restriction is prohibited by law;
Remove or obscure any proprietary notices;
Access the Service to build a competing product, or scrape, harvest, or systematically extract data from it;
Use bots, scripts, or other automated means to access the Service except through interfaces we provide; or
Circumvent or disable any security, rate-limiting, or access-control feature.

We may issue updates to the apps, and you may need to install them to keep using the Service. The Service may include third-party software that is subject to its own license terms.

App store terms

If you download an app from the Apple App Store or Google Play, your use is also subject to that store's terms. For the iOS app, you acknowledge that these Terms are between you and SKILLS only, not Apple; that Apple has no obligation to provide maintenance or support; and that Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them. The mobile apps contain no in-app purchases — paid plans are sold only on the web (see Subscriptions, billing, and auto-renewal).

Acceptable Use Policy

You agree to use the Service lawfully, professionally, and in good faith. You agree not to:

Post false, misleading, fraudulent, or deceptive information, including fake organizations, credentials, licenses, or insurance;
Lowball, spam, or flood postings or offers in violation of the marketplace's guardrails, or otherwise manipulate the marketplace;
Harass, threaten, defame, stalk, or discriminate against any person, or engage in abusive behavior toward other users;
Post or transmit content that is unlawful, obscene, hateful, harassing, violent, sexually explicit, or otherwise objectionable;
Infringe anyone's intellectual property, privacy, publicity, contractual, or other rights;
Upload viruses, malware, or other harmful code, or attempt to gain unauthorized access to the Service or other users' accounts or data;
Use the Service to violate any labor, employment, licensing, tax, safety, anti-discrimination, or other applicable law; or
Use the Service for any purpose other than its intended B2B labor-coordination use.

Objectionable content, reporting, and enforcement

We have zero tolerance for objectionable content and abusive behavior. This Service supports user-generated content (postings, offers, messages, reviews, photos, and uploaded documents), and we require every user to keep that content lawful and professional.

Report. You can report objectionable content or abusive users from within the app. Tell us what you saw and where.
Block. You can block another user to stop further contact.
We act on reports. We review reports and act on content or accounts that violate these Terms — typically within 24 hours — by removing content and, where warranted, by warning, suspending, or terminating the responsible accounts. We may remove content or suspend access at any time, with or without notice, to protect users or the Service.

By using the Service you agree there is no tolerance for objectionable content or abusive users, and you accept that we may remove content and remove or suspend offending users as described here.

The marketplace: our role and your responsibilities

SKILLS is a neutral venue that helps trade businesses find one another and coordinate labor. We are not a party to the Work Agreements, Coverage Offers, transactions, or other dealings between businesses on the platform.

SKILLS is not an employer, staffing agency, labor broker, or contractor, and it does not employ, supervise, or direct any user's crew.
We do not guarantee any work, payment, outcome, licensure, insurance, or the conduct, qualifications, or reliability of any user.
You are solely responsible for vetting the businesses you deal with, for the terms of any agreement you enter, and for your own compliance with all applicable labor, employment, licensing, tax, insurance, and safety laws.
Any dispute between businesses arising from a posting, offer, or agreement is between those businesses. You release SKILLS from claims arising out of such disputes, to the fullest extent permitted by law.

Your content and the Compliance Vault

You retain ownership of the content you submit ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit Your Content solely to operate and provide the Service (for example, to show your postings to other businesses or to deliver your messages). You represent that you have the rights necessary to submit Your Content and that it does not violate these Terms or any law.

Compliance Vault. You are responsible for the accuracy of the documents you upload to the Compliance Vault. Sharing your compliance or verification status is user-initiated — it happens only when you choose to start it, and you control and can stop it at any time. We store Vault documents to provide the feature; we do not verify or endorse the authenticity of any document, and presence in the Vault is not a warranty by SKILLS of any user's compliance.

Subscriptions, billing, and auto-renewal

Plans. SKILLS offers:

Free — $0, always available, no card required.
Pro — $99 per year, with a 3-month (90-day) free trial.
Premium — custom pricing, arranged with our sales team.

Where you buy. Subscriptions are sold and processed on the web via Stripe. The mobile apps do not process payments and contain no in-app purchase; a paid plan purchased on the web simply unlocks features in the apps.

Free trial → paid conversion. The 90-day free trial precedes any charge. Unless you cancel before the trial ends, your Pro plan begins and your payment method is charged $99 for the first annual term.

Auto-renewal (please read). When you start a Pro subscription, you provide affirmative consent at checkout to the following: your Pro plan automatically renews each year at $99/year, and your payment method on file is charged at the start of each renewal term, unless you cancel at least 24 hours before the renewal date. Your subscription continues until you cancel.

How to cancel. You can cancel anytime from your account settings on the web, or by emailing hello@skillstrade.app. Cancellation stops future renewals; you keep Pro access through the end of the term you already paid for.

Refunds. Except where required by law, subscription fees are non-refundable, and we do not provide refunds or credits for partial terms, unused time, or features you did not use. Because the Pro plan includes a 90-day free trial before any charge, you can evaluate the paid features at no cost — cancel before the trial ends to avoid being charged. If you cancel a paid term, you keep access through the end of that term.

Price changes. We may change plan pricing or features. We will give you advance notice of any change to your recurring price, and the new price will apply to your next renewal term. If you do not agree, you may cancel before that term begins.

Taxes. Prices are exclusive of any applicable taxes, which you are responsible for.

The Free tier will always remain available.

Third-party services

The Service relies on and integrates with third-party services (for example, Google sign-in, Stripe, Mapbox, and our AI providers). Your use of those services may be subject to their own terms, and we are not responsible for them. See our Subprocessors page for the providers we use.

Intellectual property

The Service, including its software, design, text, graphics, logos, and the SKILLS name and marks, is owned by Skills Trade App LLC or its licensors and is protected by intellectual-property laws. Except for the limited license granted above, these Terms do not grant you any right in our intellectual property. Any feedback you give us may be used without restriction or obligation to you.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any posting, offer, user, document, or transaction is accurate, lawful, qualified, insured, or reliable. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SKILLS TRADE APP LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to the Service or these Terms, even if advised of the possibility. Our total liability for any claim arising out of or related to the Service or these Terms will not exceed the greater of (a) the amount you paid us in the 12 months before the claim, or (b) $100. These limits are an essential part of the agreement between us.

Indemnification

You will indemnify, defend, and hold harmless Skills Trade App LLC and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your dealings or agreements with other users; (d) your violation of these Terms or any law; or (e) your violation of any third party's rights.

Termination

You may stop using the Service and delete your account at any time (see Account & Data Deletion). We may suspend or terminate your access at any time if you violate these Terms, if we are required to by law, or to protect the Service or its users. On termination, the licenses granted to you end; provisions that by their nature should survive (for example, ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

Changes to the Service and these Terms

We may modify the Service, and we may update these Terms from time to time. When we make material changes to the Terms, we will update the "Last updated" date above and provide reasonable notice (for example, in the app, by email, or on this site). Changes are effective when posted unless we say otherwise. Your continued use of the Service after a change takes effect means you accept the revised Terms.

Governing law and venue

These Terms are governed by the laws of the State in which Skills Trade App LLC is organized, and by applicable U.S. federal law, without regard to conflict-of-laws rules. Subject to the Dispute resolution section below, you and SKILLS agree to the exclusive jurisdiction and venue of the state and federal courts located in that state for any dispute not subject to arbitration, and you consent to personal jurisdiction there.

Dispute resolution

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS HOW DISPUTES BETWEEN YOU AND SKILLS ARE RESOLVED, REQUIRES INDIVIDUAL ARBITRATION OF MOST DISPUTES, AND WAIVES CLASS ACTIONS AND JURY TRIALS.

Informal resolution first. Before starting a formal proceeding, you agree to try to resolve the dispute informally by emailing us at hello@skillstrade.app with a description of your claim and the relief you seek. You and we will try in good faith to resolve it for at least 30 days before either side begins arbitration or litigation.

Binding individual arbitration. If we cannot resolve a dispute informally, you and SKILLS agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding, individual arbitration rather than in court, except as set out below. The arbitration will be administered by a nationally recognized arbitration provider (such as the American Arbitration Association) under its rules then in effect, and may be conducted in writing, by video or phone, in the state in which Skills Trade App LLC is organized, or wherever you and we agree. The arbitrator decides all issues, except that a court decides the scope and enforceability of this arbitration agreement. Judgment on the award may be entered in any court with jurisdiction.

Class-action and jury-trial waiver. You and SKILLS agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding. You and SKILLS each waive the right to a trial by jury.

Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or other equitable relief in court to stop infringement or misuse of its intellectual property or confidential information. Nothing here prevents either party from reporting a concern to a government agency.

30-day opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing hello@skillstrade.app with your name, account email, and a clear statement that you opt out of arbitration. If you opt out, the Governing law and venue courts will resolve disputes between us.

Severability. If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court; the remainder of this section survives.

Copyright and DMCA

We respect intellectual-property rights. If you believe content on the Service infringes your copyright, send a written notice with the information required by the Digital Millennium Copyright Act (DMCA) — including identification of the work, the allegedly infringing material and its location, your contact information, and a good-faith statement and signature — to our copyright agent at hello@skillstrade.app (Attn: Copyright Agent, Skills Trade App LLC). We may remove infringing content and terminate repeat infringers.

General terms

Severability. If any provision of these Terms is found unenforceable, the rest remains in effect.
No waiver. Our failure to enforce a provision is not a waiver of it.
Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
Entire agreement. These Terms, together with the Privacy Policy and any plan-specific terms presented at checkout, are the entire agreement between you and us regarding the Service and supersede any prior agreements.
